Sanmenxia Tianyuan Aluminum Announces Placing Of Shares

Sanmenxia Tianyuan Aluminum announced that the Company entered into the preliminary placing agreement with the placing agent. Pursuant to the preliminary placing agreement, the placing agent has agreed to place 875,000,000 placing shares at the placing price of HKD0.80 per placing share. On the same date the Company entered into the subscription agreement with Tianrui Group Company Limited (Tianrui Group), pursuant to which the Company agreed to allot and issue the subscription shares to Tianrui Group. The subscription shares to be issued and allotted by the Company represents approximately 53.50% of the existing issued share capital of the Company. The subscription price is RMB0.80. Completion of the subscription agreement shall take place simultaneously with the completion of the placing.
